They’ll Never Take Our Freedom

So proud of my friends in DeFi Law this week who wrote a deluge of comment letters into the SEC’s request for comment about a new proposal redefining what it means to be an exchange. The SEC is doing a sneak attack on DeFi by redefining the meaning of exchange to include, well, almost everything that facilitates a trade including simply publishing code.

Today, @Delphi_Digital submitted to the SEC our strong objections to the SEC's recent proposed amendments to Reg ATS, which, in part, seek to re-define all "communications protocols" as potential securities exchanges.

One argument against this overreach that is particularly compelling comes from Peter Van Valkenburgh at Coin Center. He argues the rule may be a Constitution violation of freedom of speech.

Surely that’s a Hail Mary argument you say? Not at all. The SEC had its rule about conflict minerals disclosure struck was down by the DC Circuit on constitutional first amendment grounds just a few years ago. (Sorry SEC General Counsel, you’re gonna need to work late this weekend.)
